These terms and conditions outline the rules and regulations for the use of the services and products provided by And Simple ApS (the “Terms and Conditions”).
Our Terms and Conditions were last updated on 22 June 2022.
1. Interpretation and Definitions
The following terminology applies to these Terms and Conditions, Privacy Policy and Disclaimer Notice and all Agreements: “Client”, “You” and “Your” refers to you, the person who log in or otherwise use the Service. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to And Simple ApS. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves. “Service” and “Simple” refers to the products and services provided by the Company at any time, which includes, but are not limited to, the websites andsimple.co and andsimple.com, the Simple platform, reviews, service provider directory, case studies and market playbooks. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to the Danish law. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.
2. Acknowledgment
2.2 These are the Terms and Conditions governing the use of our Service and the agreement that operates between you and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the Service.
2.3 Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.
2.4 By accessing or using the Service, You agree to be bound by these Terms and Conditions. Do not continue to use the Service if you do not adhere to all of these Terms and Conditions.
2.5 You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
2.6 Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Service and tells You about Your privacy rights and how the law protects You. 3.1 Unless otherwise stated, And Simple ApS and/or its licensors own or hold license to the intellectual property rights for all material in the Service. All intellectual property rights are reserved. You may access this from the Service for your own personal use subjected to restrictions set in these Terms and Conditions.
You must not:
- Republish material from the Service
- Sell, rent or sub-license material from the Service
- Reproduce, duplicate or copy material from the Service
- Redistribute content from the Service
3.2 Parts of the Service offer an opportunity for users to post and exchange opinions and information in certain areas of the Service. And Simple ApS does not filter, edit, publish or review Comments prior to their presence on the Service. Comments do not reflect the views and opinions of And Simple ApS, its agents and/or affiliates. Comments reflect the views and opinions of the person who post their views and opinions. To the extent permitted by applicable laws, And Simple ApS shall not be liable for the comments or for any liability, damages or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the comments on the Service.
3.3 And Simple ApS reserves the right to monitor all comments and to remove any comments which can be considered inappropriate, offensive or causes breach of these Terms and Conditions.
3.4 You warrant and represent that:
- You are entitled to post the comments on the Service and have all necessary licenses and consents to do so;
- Your comments do not invade any intellectual property right, including without limitation copyright, patent or trademark of any third party;
- Your comments do not contain any defamatory, libelous, offensive, indecent or otherwise unlawful material which is an invasion of privacy
- Your comments will not be used to solicit or promote business or custom or present commercial activities or unlawful activity.
3.5 You hereby grant And Simple ApS a non-exclusive, worldwide, perpetual and royalty free license to use, reproduce, edit and authorize others to use, reproduce and edit any of your comments in any and all forms, formats or media.
4. Hyperlinking to our Content
4.1 The following organizations may link to our Service without prior written approval:
- Government agencies;
- Search engines;
- News organizations;
4.2 These organizations may link to our Service so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products and/or services; and (c) fits within the context of the linking party’s site.
4.3 We may consider and approve other link requests from the following types of organizations:
- commonly-known consumer and/or business information sources;
- dot.com community sites;
- associations or other groups representing charities;
- online directory distributors;
- internet portals;
- accounting, law and consulting firms; and
- educational institutions and trade associations.
4.4 We will approve link requests from these organizations if we decide that: (a) the link would not make us look unfavorably to ourselves or to our accredited businesses; (b) the organization does not have any negative records with us; (c) the benefit to us from the visibility of the hyperlink compensates the absence of And Simple ApS; and (d) the link is in the context of general resource information.
4.5 These organizations may link to our Service so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products or services; and (c) fits within the context of the linking party’s site.
4.6 If you are one of the organizations listed in paragraph 4.3 above and are interested in linking to our website, you must inform us by sending an e-mail to And Simple ApS. Please include your name, your organization name, contact information as well as the URL of your site, a list of any URLs from which you intend to link to our Service, and a list of the URLs on our site to which you would like to link. Wait 2-3 weeks for a response.
4.7 Approved organizations may hyperlink to our Service as follows:
- By use of our corporate name; or
- By use of the uniform resource locator being linked to; or
- By use of any other description of our Service being linked to that makes sense within the context and format of content on the linking party’s site.
4.8 No use of And Simple ApS logo or other artwork will be allowed for linking absent a trademark license agreement.
5. iFrames
Without prior approval and written permission, you may not create frames around our Service that alter in any way the visual presentation or appearance of our Service.
6. Content Liability
We shall not be held responsible for any content that appears on your website. You agree to protect and defend us against all claims that is rising on your website. No link(s) should appear on any website that may be interpreted as libelous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.
7. Privacy and your Personal Information
For information about our privacy policy and data protection practices, please read our Privacy Policy, which is hereby incorporated into these Terms and Conditions. The Privacy Policy explains how we treat your personal information when you access and use the Service. The Privacy Policy may be updated from time to time at our discretion.
8. Reservation of Rights
We reserve the right to request that you remove all links or any particular link to our Service. You approve to immediately remove all links to our Service upon request. We also reserve the right to amend these Terms and Conditions and any policy at any time. By continuously linking to our Service, you agree to be bound to and follow these Terms and Conditions.
9. Removal of links from our Service
9.1 If you find any link on our Service that is offensive for any reason, you are free to contact and inform us any moment. We will consider requests to remove links but we are not obligated to do so or to respond to you directly.
9.2 We do not ensure that the information on our Service is correct, we do not warrant its completeness or accuracy; nor do we promise to ensure that the Service remains available or that the material on the Service is kept up to date.
10. Billing and Payment of Fees.
10.1 Fees
As consideration for the rights granted under these Terms and Conditions, you shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable (the “Subscription Fees”).
10.2 Billing Information and Payment Method
You agree to provide And Simple ApS with complete and accurate billing and contact information. Upon registration for the Service, you must provide And Simple ApS with your registration information. In addition, you must provide And Simple ApS with a valid debit or credit card and/or arrange for payment on invoice. You must also provide your authorization to bill such debit or credit card as a condition to signing up for the Service. If the registration information or payment method you have provided is false or fraudulent, And Simple ApS reserves the right to terminate your access to the Service immediately without prior notice to you, in addition to any other legal remedies.
10.3 Payment Terms
Upon acceptance for the Service, And Simple ApS will begin billing your payment method for any subscription fees. And Simple ApS charges and collects in advance for the use of the Service. All payment obligations are noncancelable and all amounts paid are nonrefundable. Your term of service (“Term”) will commence upon payment of the Subscription Fees.
Subscriptions will automatically renew if notice of termination has not been submitted via email to [email protected] before the renewal date.
11. Suspension and Termination
11.1 Suspension for Non-Payment
And Simple ApS reserves the right to suspend or terminate these Terms and Conditions and your access to the Service if your account becomes delinquent (falls into arrears). You agree and acknowledge that And Simple ApS has no obligation to retain any data you input to the site and that such user data may be irretrievably deleted if your account is 60 days or more delinquent.
11.2 Termination for Non-Payment
If you fail to pay Subscription Fees, And Simple ApS, in its sole discretion, may terminate your password, account or use of the applicable Services and/or all of the Services in the event that you fail to pay all outstanding Subscription Fees when due. If And Simple ApS initiates termination under these Terms and Conditions, you will be obligated to pay the balance due on your account computed in accordance with the Billing and Payment of Fees section above. You agree that And Simple ApS may charge such unpaid fees to the payment method you provided.
12. Disclaimer
12.1 To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our Service. Nothing in this disclaimer will:
- limit or exclude our or your liability for fraud or fraudulent misrepresentation;
- limit any of our or your liabilities in any way that is not permitted under applicable law; or
- exclude any of our or your liabilities that may not be excluded under applicable law.
12.2 The limitations and prohibitions of liability set in this section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort and for breach of statutory duty.
12.3 As long as the Service and the information and services on the Service are provided free of charge, we will not be liable for any loss or damage of any nature.
13. Governing law and jurisdiction
These Terms and Conditions and any non-contractual rights or obligations arising out of or in connection with it or its subject matter, shall be governed by and construed in accordance with Danish law.
14. Disputes Resolution
14.1 If any dispute arises in connection to the use of the Service or contractually, including any disputes regarding its existence, validity or termination, You are obliged to try and resolve the dispute with And Simple ApS to the best of your effort for 30 days. If the dispute is not resolved within the 30 days, clause 14.2 will go into effect.
14.2 Any dispute not resolved through article 14.1, shall be resolved at top executive level for 30 days. If the dispute is not resolved within the 30 days, clause 14.3 will go into effect.
14.3 Any dispute not resolved through article 14.2, shall be resolved through mediation where each Party must pay up to EUR 5.000 in relation to the appointment and assignment of a neutral mediator to try and resolve the dispute. If the dispute is not resolved through mediation, clause 14.4 will go into effect.
14.4 Any dispute not resolved through article 14.3, shall be settled by the Copenhagen City Court.
15. Severability and Waiver
15.1 Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
15.2 Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms and Conditions shall not effect a party’s ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
