A Hong Kong family office is hiring a Company Secretary to manage corporate governance, compliance and offshore entity administration across jurisdictions such as BVI and the Cayman Islands. The role covers statutory filings, board resolutions and minutes, offshore company formation and maintenance, trust setup and wealth-structuring support, liaison with directors, regulators, banks and advisers, bank and investment account opening, and MPF registration.
The Company Secretary manages corporate governance, compliance and offshore entity administration for a family office, supporting UHNW clients and ensuring regulatory adherence across multiple jurisdictions.
Key responsibilities: - Oversee statutory filings, regulatory requirements and corporate records for offshore entities - Prepare and review board resolutions, minutes and corporate documents - Support offshore entity formation, structuring and ongoing compliance (e.g. BVI, Cayman Islands) - Monitor offshore governance frameworks and international compliance - Assist with trust setup, family-office operations and asset-protection strategies - Liaise with directors, regulators, financial institutions, tax advisers, legal teams and corporate service providers - Draft and oversee incorporation documents, trust agreements and secretarial paperwork - Facilitate bank and investment account setup for HNW clients; manage MPF account registration
Requirements: right to work in the relevant jurisdiction; HKCGI qualification; minimum 3 years' company-secretarial experience (ideally offshore corporate services or private wealth); experience in BVI/Cayman or similar; familiarity with offshore trusts and family-office solutions; excellent organisation and stakeholder skills; proficient written Chinese and English; fluent spoken Mandarin.
